To ensure that we can provide a safe and friendly environment for all our users, we have established these TERMS OF USE. It spells out just what you can expect from us and what we can expect from you.

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING LegallyNoted.com. THEY ARE LEGALLY BINDING ON YOU. These Terms and Conditions are effective as of March 28, 2009.

By using LegallyNoted.com.net, you signify your assent to these Terms of Use (Note: The use of the word "Terms" also includes the term and concept of "Conditions"). We reserve the right, at our discretion, to modify, add, or remove portions of these terms at any time. Please check these terms periodically for changes. Your continued use of this site now or following the posting of any changes to these terms will signify that you accept these Terms and/or changes. Your violation of these Terms, at a minimum, will result in your loss of the right to use our Website, as we may decide in our absolute discretion. You understand that this agreement is separate from any project based work agreements you may have with LegallyNoted.com.net. The work orders and project agreements and any other agreements to which you may be a party set forth additional obligations you have.

• The terms "You," "User," and "Customer" as used herein refer to all individuals and/or the entities they represent (jointly and severally) accessing this Website for any reason and include, but are not limited to, "Employers" (person or entity that is accessing the Website to post a job or for any reason related to the purpose of seeking candidates) and "Job Seekers" (a User who is accessing the Website to search for a job or in any other capacity except as an Employer).

1. ACCEPTING THE TERMS CREATES A BINDING CONTRACT.

The Terms and Conditions are a legally binding contract. By using this Website, You are indicating Your acceptance to be bound by the terms of these Terms. In consideration of your use of the Services, you represent that you are of legal age and capacity to form a binding contract and are not a person barred from using the Services under the laws of the United States or other applicable jurisdiction. If you do not accept this Agreement, you are not authorized to use the Website.

2. MEMBER ELIGIBILITY

In order to be eligible to participate on LegallyNoted.com you must be a student or alumni from an ABA accredited law school. You must disclose which law school you attend(ed) upon registering for the site.

3. REVISION OF TERMS.

Following the implementation of LegallyNoted.com, we shall perform updates to the site and any other updates reasonably requested by You. All such updates shall become part of LegallyNoted.com and shall be governed by the terms and conditions of this Agreement. We may revise these Terms and Conditions at any time by updating this webpage. Accordingly, it is advised that the User review the Terms frequently because they are binding on the User. You may review the most current version of the Terms by clicking the Terms of Use link appearing at the bottom of LegallyNoted.com.

4. USE OF LegallyNoted.com.

LegallyNoted.com authorizes you to view the material on the website and any messages from LegallyNoted.com solely to post personal class notes and outlines.

The Website is intended for individuals seeking to share their class notes and outlines with other Users. You may use this Website only for lawful purposes within the stated context of the Website's intended and acceptable use. LegallyNoted.com is the sole interpreter of the Website's intended and acceptable use.

Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, integrity, completeness or suitability of the information and materials found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law. Whenever You post any information on the Website or to the Website, you agree to provide true, accurate, and contemplate information.

You agree not to (1) use any Account, Sign In name, or password of another User of the Site that you are not authorized to use or (2) authorize others who are not authorized to do so to use the Account or any related Team Account at any time. You agree to notify us immediately if you suspect any unauthorized use of the Account or access to your password or the password of any User of your Account.

You represent and warrant that: (1) you have full authority to enter into this Agreement; (2) all obligations owed to third parties with respect to the activities contemplated to be undertaken by Customer pursuant to this Agreement are or will be fully satisfied by Customer, so that LegallyNoted.com will not have any obligations with respect thereto; and (3) Customer has provided Content for LegallyNoted.com that does not infringe or violate copyright, patent, trademark, trade secret, or any other proprietary rights of any third party.

You may receive a password and account designation upon completing the registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account..

6. INDEMINFICATION

LegallyNoted.com is owned and operated by LAWction, Inc, and is not an employment agency or a recruiting firm, and makes no representations or guarantees regarding the accuracy, completeness, etc. of any materials submitted to this website.

You are solely responsible for the form, content and accuracy of any User Content. As a result, LegallyNoted.com has no control over the quality, safety or legality of the materials posted the truth or accuracy of the materials. In addition, note that there are risks, including but not limited to the risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false pretenses. You assume all risks associated with dealing with other users with whom you come in contact through the Website.

You promise not to sue the LegallyNoted.com and hereby waive any and all claims against the Company from any liability arising out of or related to the acts or omissions of other users (Employers and Job Seekers). User agrees to indemnify, defend, and hold harmless LegallyNoted.com, its directors, officers, employees, and agents, against same with respect to any claim, demand, cause of action, debt or liability, including reasonable attorney's fees and accounting fees , alleging or resulting from Your breach of these Terms of Use, or Your use of the Material or User Content. LegallyNoted.com shall provide notice to You promptly of any such claim, suit, or proceeding and shall assist You, at Your expense, in defending any such claim, suit or proceeding.

Legallynoted.com's limitation of liability is further discussed in Section 21 of this Agreement.

YOUR USE OF THIS SITE IS STRICTLY SUBJECT TO THIS AGREEMENT. IF YOU DO NOT WISH TO INDEMNIFY LEGALLYNOTED.COM, PLEASE DO NOT JOIN OR IF YOU HAVE ALREADY JOINED PROMPTLY CANCEL YOUR SUBSCRIPTION TO THE SITE.

7. NO AGENCY, FIDUCIARY, THIRD-PARTY BENEFICIARY

LegallyNoted.com is not the agent, fiduciary, or other representative of You. Nothing expressed or mention in or implied from this Agreement is intended or shall be construed to give to any person other than the parties hereto and any legal or equitable right, remedy, or claim under or in respect to this Agreement. Accordingly, LegallyNoted.com is not a party to any relationships entered into between any members of this Site.

Nothing on the Website shall be considered an endorsement, representation or warranty with respect to any User or third party, whether in regards to its web Website, products, services, hiring, experience, employment or recruiting practices, or otherwise.

This Agreement and all of the representations, warranties, covenant, conditions, and provisions are intended to be and are for the sole and exclusive benefit of LegallyNoted.com and You.

8. MONITORING CONTENT

You understand that any message posted by a User of our Services expresses only the views of the User and does not reflect the views of LegallyNoted.com LegallyNoted.com may use moderators and administrators ("Administrators") to monitor the content and appearance of posted messages. However, because of the real-time nature of the Services, it is impossible for LegallyNoted.com.net to monitor or review every message.

LegallyNoted.com is under no obligation to monitor the Documents posted on the Website, but it may monitor Documents at random. Documents found to violate the above Posting Rules may be removed at LegallyNoted.com's sole discretion.

9. ONLINE CONDUCT

LegallyNoted.com reserves the right to prohibit conduct, communication, or content that we deem in our sole discretion to violate any law or be harmful to the rights of any user, our Company, or any third party. Provided, however, neither we nor our provider(s) can ensure the prompt removal of questionable content after online posting. Accordingly, neither our Company, nor any of its officers, employees, or representatives shall assume liability for any action or inaction taken with respect to removing such material from our Web site.

Our website shall only be used for personal uses consistent with our site's operations. You shall not distribute or otherwise publish any commercial material soliciting or promoting any goods or services. You specifically acknowledge that soliciting any users of this website to become members of any commercial online service or other organization is expressly prohibited.

10. COMMERCIAL NOTES OR OUTLINES PROHIBITED.

Your notes or outlines may NOT contain: (i) copyrighted material (unless you own the copyright or have the owner's permission to post the copyrighted material); (ii) trade secrets (unless you own them or have the owner's permission to post them); (iii) material that infringes on or misappropriates any other intellectual property rights, or violates the privacy or publicity rights of others; (iv) keywords or white text keywords (including any words embedded in the Document and hidden from the User); (v) anything that is sexually explicit, obscene, libelous, defamatory, threatening, harassing, abusive, or hateful; or (vi) anything that is embarrassing or offensive to another person or entity, or (vii) otherwise objectionable content including, but not limited to any material encouraging conduct that would constitute a criminal offense, civil liability, or otherwise violate any applicable law.

11. LICENSE TO LEGALLYNOTED.COM

Upon your submission of notes and outlines to the Site, you grant LegallyNoted.com, and LegallyNoted.com thereby accepts, a worldwide, perpetual, non-terminable, irrevocable, transferable, license to access, use, distribute, perform, reproduce, display, and sublicense, and to permit others to access, use, distribute, perform, reproduce and display, the Notes, all without any further compensation to you whatsoever. LegallyNoted.com may remove Notes from the Site that are libelous, incorrect, spiteful, or otherwise inappropriate, in LegallyNoted.com's sole discretion. LegallyNoted.com shall not be responsible for changes, modifications, or removal of any Notes that you submit to the Site.

12. CONDUCT RULES

You are responsible for all Content that you upload, submit, post, e-mail or otherwise transmit using the Website or Services. Likewise, you are responsible for respecting LegallyNoted.com's any third parties' rights with respect to Content that appears on the Website and not to download, e-mail or otherwise transmit such Content in violation of LegallyNoted.com's and third parties' rights.

Users are prohibited from violating or attempting to violate the security of the Website, including, without limitation:

• accessing data not intended for such User or logging into a server or account which the User is not authorized to access;
• attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;

• submit, upload, post, e-mail or otherwise transmit any material that contains software viruses or any other code, files or programs designed or known to disable, interrupt, or limit the functionality of any computer hardware, computer software, or telecommunications equipment or facilities.
• submit, upload, post, e-mail or otherwise transmit without authorization any material that contains personal or private information concerning any third party person or entity, including without limitation, phone number(s) or addresses, credit/debit cards, calling cards, account numbers, social security numbers, passwords or other similar information.
• to delete or revise any material posted by any other person or entity.
• Use the Website or Services for any purpose or in any manner that violates any local, state, or federal law or regulation or the law or regulation of any foreign government including but not limited to scripts, bots and other software, to try to collect information from the Website or to break into any of its servers.

13. RESTRICTIONS ON USE OF MATERIALS.

All trademarks, service marks, and trade names are proprietary to Company. You may not copy, transmit post, create derivative works from, or republish in any way whatsoever any Materials from our website without prior written permission from the Company. Any modification or use of the materials for any other purpose is an infringement of the Company's copyrights and other proprietary rights. Use of these Materials on any other website or other networked computer environment is prohibited without the prior written permission of LegallyNoted.com.

14. THIRD-PARTY SUBMISSIONS

User may upload on our website only content that is not subject to any copyright or other proprietary rights protection, or content in which the author has given express authorization for Internet distribution. Any content distributed with the consent of a copyright owner should contain a phrase such as "Copyright, date, owned by [indicate name of owner]; used by permission." The unauthorized submission or distribution of copyrighted or other proprietary content is illegal.

16. VIOLATIONS OF TERMS OF USE

17. TERMINATION OF USE

LegallyNoted.com reserves the right to immediately refuse service, terminate accounts, suspend activity and/or cancel bids in its sole discretion. Cause for such measures shall include, but not be limited to: (a) breaches or violations of the TOU or other incorporated agreements or guidelines; (b) requests by law enforcement or other government agencies; (c) a request by you (self-initiated account deletions); (d) discontinuance or material modification to the Services; (e) unexpected technical or security issues or problems; (f) extended periods of inactivity; and/or (g) engagement by you in fraudulent or illegal activities (h) if we believe that any customer's conduct violates applicable law, is harmful to another user's interest, or (i) is harmful to the Company's a third party's, or a service provider's interests.

If your account is terminated, you would receive a refund for any amounts paid for services not yet rendered if You were in compliance with these Terms and Conditions when Company denied Your right of continued use of the Material or Website. To the maximum extent allowed by law, the Company may deny any company or person the right to use the Material or Website.

You further agree that all such measures shall be made in LegallyNoted.com's sole discretion and that LegallyNoted.com shall not be liable to you or any third party for any measure taken concerning your account access and/or disciplinary action, up to and including termination of employment, if applicable.

(d) IN NO EVENT SHALL LegallyNoted.com (OR ANY OF ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AFFILIATES, AGENTS OR ADVERTISERS), BE LIABLE FOR ANY DIRECT DAMAGES IN EXCESS IN THE AGGREGATE OF US $200.00 (OR, IF YOU ARE AN EMPLOYER WITH A SERVICES AGREEMENT WITH LegallyNoted.com, THE AMOUNTS ACTUALLY PAID BY YOU TO LegallyNoted.com UNDER THIS AGREEMENT IF GREATER THAN US $200.00).

(e) Due to the nature of this Agreement, in addition to money damages, you agree that LegallyNoted.com will be entitled to equitable relief upon a breach of this agreement by you.

22. RELEASE

If you have a dispute with another Member, you release LegallyNoted.com (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such dispute.

23. MEDIATION/ARBITRATION

Any legal dispute or controversy arising out of or related to this Agreement shall first attempt to be settled by mediation. If that is not successful, then the dispute shall be settled by binding arbitration. The parties hereto shall submit any dispute or controversy arising out of or related to this Agreement to binding arbitration before the American Arbitration Association, Chicago Branch, pursuant to the rules of the American Arbitration Association. Any award shall be final and binding on all parties, and a final judgment may be entered in the appropriate court of law. Notwithstanding this, should any litigation ensue between the parties, then the prevailing party shall be entitled to reasonable expenses and attorney's fees as set by the Court.
